End-User License Agreement
This agreement is between you (the business or person using the software) and Eikeland ("Eikeland"). It covers Eikeland software including the Nexus optical practice platform, the Eikeland assistant, related apps and connectors (for example the QuickBooks Online, Google, Microsoft and Zoho connections), and updates to them (together, the "Software"). By installing, connecting or using the Software you accept these terms.
1. License
Eikeland grants you a non-exclusive, non-transferable license to install and use the Software for your own business operations, on the terms of your purchase or subscription. Perpetual Nexus licenses are yours to keep for the licensed practice; maintenance and updates may be subject to a separate fee.
2. What you may not do
- Resell, sublicense, rent or provide the Software as a service to third parties without written permission.
- Remove copyright notices, or misrepresent who made the Software.
- Use the Software to break the law, to send spam, or to access accounts or data you are not authorized to access.
3. Your data
You own the data you put into the Software or connect to it, including accounting data in QuickBooks Online, email and calendar content, and patient or customer records. Eikeland processes it only to provide the features you use, as described in the Privacy Policy. You are responsible for having the right to connect the accounts you connect and for complying with the laws that apply to your records (for example health-information and tax laws).
4. Connected services
Third-party services you connect (Intuit QuickBooks, Google, Microsoft, Zoho, Apple and others) are governed by their own terms. Eikeland is not responsible for those services, for changes they make, or for actions they take on your account. You can disconnect any service at any time, which stops the related features.
5. Automated actions and approvals
Some features can draft emails, create accounting entries or take other actions on your behalf. Unless you have expressly enabled automatic posting for a specific action, the Software queues such actions for your approval and nothing is sent or posted until you approve it. You are responsible for reviewing anything you approve and for anything you set to run automatically.
6. Support and updates
Support and updates are provided as described in your purchase or maintenance agreement. Eikeland may add, change or retire features over time.
7. No warranty
The Software is provided "as is". Eikeland does not promise that it will be error-free or uninterrupted, or that AI-generated output (drafts, summaries, extracted invoice fields, suggestions) will be accurate. Check AI output before relying on it, especially for accounting, clinical or legal purposes.
8. Limitation of liability
To the extent permitted by law, Eikeland's total liability for any claim related to the Software is limited to the amount you paid for it in the twelve months before the claim, and Eikeland is not liable for indirect, incidental or consequential losses, including lost profits or lost data. Keep your own backups.
9. Termination
This agreement ends if you stop using the Software or materially breach these terms. Sections 3, 7 and 8 survive termination. Perpetual licenses are not revoked for non-payment of optional maintenance.
10. Governing law
This agreement is governed by the laws of Alberta and the federal laws of Canada that apply there. Disputes will be brought in the courts of Alberta.
